PROCEDURES:

  1. The Investor, Submits Client Information Sheet, Bank Coordinates, Color Passport Copy, Corporate Resolution and this Agreement signed

 

  1. Upon satisfactory due diligence, Collateral Provider accepts signs, seals and returns this Agreement completed with full banking details, Passport copy and this Agreement automatically becomes a full commercial recourse contract and then both parties shall lodge this signed agreement to their respective banks.

 

  1. Within 72 banking hours after this agreement has been lodged in parties’ banks, the Collateral Provider shall instruct his bank to issue RWA via MT 199 (as per Appendix A.) to the Investor  banking account to confirm his readiness to deliver said  Bank Guarantee  (BG)  by Pre-Advice MT 799 followed by a SWIFT MT 760. Collateral Provider sends immediately after the transmission of the Swift MT 199 a courtesy copy of the Swift transcript (an original bank copy including all codes etc.) to the Investors  via e-mail: xxxxxx

 

  1. After the successful verification and authentication of Collateral Provider´s RWA, the Investor   shall instruct his bank to issue ICBPO via MT 799 (as per Appendix B.) with emission amount including the consultants’ fee (76%+1%) within 48 banking hours. The Investor sends immediately after the transmission of the Swift MT 799 a courtesy copy of the Swift transcript  (including all codes etc.) to the Collateral Provider via e-mail:__________________

 

  1. After receiving and the successfully authenticating the Investor’s ICBPO the Collateral Provider shall instruct the issuing bank to deliver the BG to the Investor’s Bank account via SWIFT MT 760. Once the SWIFT MT 760 has been delivered and successfully verified and authenticated the Investor shall remit the full Payment to the Collateral Provider’s assigned accounts within three (3) banking days. Collateral Provider sends immediately after the transmissions of the Swift MT 760 a courtesy copy of the respective Swift transcripts (an original bank copy including all codes etc.) to the Investor via e-mail: xxxxxxxxx

 

  1. Within seven (7) banking days after having received the payment, the issuing bank shall send the original Bank Guarantee hard copy per authenticated bank courier.

 

  1. The Consultants’ Fees shall be disbursed and paid by the Investor at the time of each tranche in accordance with the terms of the MFPA, which is incorporated herein by reference as material condition of this agreement.

 

Subsequent tranches shall be scheduled and implemented in a timely manner by the Parties hereto.
